I don't have problems with UpDown control, works OK for me.
Can you upload testproject that reproduces problem?

My Sample in Vb.net and use code-jock up-down and flat-edit.

Because Vb.Net Up-Down doe's not get skin:(

OK, now I know what you mean... So you applied skin and it still shows like that? I once saw same problem with VB6.0 and corrected it, changing the button with SkinBuilder. I think it's your skin file is the problem, because I still see same thing with Office and Vista style...
 
To correct it:

Don't use widths that large or correct image with SkinBuilder.
